What we determine before registering the company
At the first consultation, we go through the structure of the future company in detail and identify in advance the key issues that will matter for its future operations.
In particular, we discuss:
— the content and key provisions of the company’s articles of association;
— the size and distribution of shares among the shareholders;
— the composition of the management board;
— the powers of the board members;
— the rules for representing the company;
— how the shareholders and the board will interact;
— registration and enrollment with the relevant authorities;

Full support after registration
My work does not end once the company has been entered in the register.
After registration, I support you with the necessary formalities, including registering beneficial ownership information with the Central Register of Beneficial Owners (Centralny Rejestr Beneficjentów Rzeczywistych, CRBR) and fulfilling the obligations related to paying the civil law transactions tax (PCC), in line with legal requirements.
Separately, we look in advance at the question of legalizing the stay of the founders and board members.
This is fundamentally important, since the way the company is structured can matter for the migration procedure down the line. Even before registration, we discuss:
— on what basis the founders and board members will be able to legalize their stay in Poland;
— what requirements may arise under subsequent migration procedures;
— what indicators and actual business activity may be relevant;
— what conditions need to be taken into account when appointing a foreigner as a board member;
— whether additional permits are needed for a particular foreigner;
— how the company can employ foreign staff;
— what types of employment contracts may be used;
— what additional formalities need to be completed when hiring foreigners.
